1. Welcome & Scope

These Terms of Service (“Terms”) govern your access to and use of the claim package marketplace operated by OptiMystic Holdings Inc. (“OMH,” “we,” “our”), the mandated Trustee Corporation for the Soteria Covenant Trust. By accessing optimh.com or optimysticholdings.com, you agree to be bound by these Terms.

OMH administers post-judgment claim packages originating from the Soteria Tribunal. Our services include claim package listing, open bidding, cryptographic verification (SHA-256), PPSA lien administration, entity standing checks via the Lex Nigra registry, and dual-book sovereign accounting through SOVAP.

2. Eligibility & Registration

You must be at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements. By using our services, you represent and warrant that you meet these requirements. Organizations may use our services through authorized representatives.

To place bids on the marketplace, you must register as a verified bidder. Registration requires identification details, contact information, address, and a statement of purpose. All applicants undergo entity screening through the Lex Nigra registry and require administrative approval before being granted bidding privileges.

Passwords are secured with Argon2id hashing and are never stored in plaintext. You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access.

3. Claim Package Marketplace

Listing: All claim packages listed on the marketplace originate from tribunal-issued judgments that have completed the full adjudication lifecycle (GRADAFAR or GRADMEJFAR track). Each package includes judgment metadata, supporting document hashes, PPSA lien references, and Lex Nigra entity status.

Bidding: Open bids are accepted during the published auction window. Each bid must exceed the current high bid or meet the posted minimum. Bids are final once submitted and cannot be withdrawn. The winning bidder will be contacted to complete the transfer process.

Buy Now: Where available, a “Buy Now” price allows immediate acquisition of a claim package at a fixed price, bypassing the auction. Exercise of a Buy Now option immediately closes the auction.

4. Cryptographic Verification

All documents referenced in claim packages are verifiable through SHA-256 cryptographic hashes. OMH provides verification tools as a convenience. Verification confirms that a document matches its recorded hash — it does not constitute legal certification, notarization, or governmental attestation. Users are responsible for their own independent due diligence.

5. PPSA Lien Administration

Claim packages may include PPSA-registered secured creditor positions. OMH administers lien filings, maintenance, and enforcement as part of its trust mandate. Transfer of a claim package includes assignment of associated lien rights, subject to applicable registry requirements.

6. User Obligations

  • Provide accurate and truthful information in all submissions
  • Not submit fraudulent bids or engage in bid manipulation
  • Not attempt to interfere with, disrupt, or exploit the marketplace or its infrastructure
  • Not use automated tools, scrapers, or bots without written authorization
  • Comply with all applicable laws and regulations in your jurisdiction
  • Verify all claim package details independently before submitting a bid

7. Fees & Payments

Listing fees, transaction fees, and bid deposits (where applicable) will be clearly disclosed on each claim package listing. All amounts are denominated in USD. Payment processing is handled by third-party providers. OMH is not responsible for payment processor fees, currency conversion, or cryptocurrency volatility.

8. Complaints & Disputes

Complaints regarding marketplace operations, trustee conduct, or claim package accuracy may be submitted through our Complaints page. All complaints receive a reference number and acknowledgment within five (5) business days. OMH will investigate and respond in good faith, but the complaint process does not constitute a legal filing or arbitration proceeding.

9. Limitation of Liability

Services are provided “as is” and “as available.” OMH disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, OMH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the marketplace, including but not limited to lost profits, data loss, or business interruption.

Total aggregate liability shall not exceed the greater of fees actually paid by you to OMH in the twelve (12) months preceding the claim, or one hundred United States dollars ($100 USD).

10. Intellectual Property

The OMH marketplace, including its design, code, and content (excluding tribunal-originated data), is the property of OptiMystic Holdings Inc. and the Soteria Covenant Trust. You may not reproduce, distribute, or create derivative works without written authorization.

11. Governing Authority

Matters arising under the trust mandate fall within the ecclesiastical authority of the Soteria Tribunal. For commercial disputes, the laws of the State of Wyoming shall apply by convenience, without regard to conflict of law principles. Nothing in these Terms constitutes a waiver of sovereign or ecclesiastical immunity where applicable.

12. Modifications

OMH reserves the right to modify these Terms at any time. Material changes will be posted on our website with an updated effective date. Continued use of the marketplace following changes constitutes acceptance. We encourage periodic review of these Terms.
